Terms of Service

Memo is an AI knowledge workspace that lets you upload or connect sources such as PDFs, websites, text, audio, and video, then generate outputs like flashcards, notes, practice tests, tutor sessions, podcasts, mind maps, and other study materials.

You may use Memo only in compliance with applicable law and these terms. If you use Memo on behalf of an organisation, you confirm that you have authority to bind that organisation to these terms.

You are responsible for the accuracy of the information tied to your account and for maintaining the security of your login credentials. You are also responsible for activity that happens under your account unless it results from our own security failure.

You must be legally able to enter into a binding agreement to use Memo. If you are using Memo as part of a school, workplace, or team environment, you are responsible for ensuring your use complies with the rules that apply to you there.

• Do not share account access in a way that bypasses plan limits or intended usage.
• Do not impersonate another person or create accounts through unauthorised automation.
• Tell us promptly if you believe your account has been compromised.

You retain ownership of the content you upload, paste, connect, or otherwise submit to Memo. You give us a limited licence to host, process, reproduce, transform, and transmit that content only as needed to operate, secure, support, and improve the service.

Memo uses AI systems to analyse sources and generate outputs. You are responsible for reviewing generated content before relying on it. AI responses can be incomplete, outdated, biased, or incorrect, and Memo is not a substitute for professional, legal, medical, academic integrity, or compliance advice.

• Only upload or connect content that you have the right to use.
• You are responsible for citations, permissions, and downstream use of generated outputs.
• We may remove content that creates security, legal, or operational risk.

Some Memo features require a paid subscription or usage-based plan. Prices, limits, and included features are described on our pricing pages or in-product billing surfaces and may change over time.

Subscriptions renew automatically unless you cancel before the next renewal date. Unless required by law or stated otherwise, fees already paid are non-refundable. Cancelling stops future renewals and your paid access continues until the end of the current billing period.

• Payments are processed by third-party billing providers such as Stripe.
• You must provide current billing information and keep it updated.
• We may suspend paid features if invoices or subscription charges remain unpaid.

You may not use Memo to violate laws, infringe rights, or interfere with the operation or security of the service. We may investigate misuse and take action including content removal, rate limiting, suspension, or termination.

• No unlawful, fraudulent, abusive, harassing, or deceptive use.
• No attempts to reverse engineer, probe, scrape, overload, or circumvent product limits or security controls.
• No use that facilitates plagiarism, exam cheating, malware delivery, copyright abuse, or privacy violations.

Memo, including our software, design, branding, interfaces, workflows, and related materials, is protected by intellectual property and other applicable laws. Except for the limited rights granted in these terms, we reserve all rights in and to the service.

You may not copy, sell, resell, lease, distribute, or create derivative services from Memo except where applicable law or our written permission allows it.

We may suspend or terminate access to Memo if we reasonably believe you have violated these terms, created legal or security risk, failed to pay fees, or used the service in a way that harms other users, our providers, or our platform.

You may stop using Memo at any time. Certain obligations survive termination, including payment obligations already incurred, ownership provisions, disclaimers, liability limits, and dispute-related provisions.

Memo is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

To the fullest extent permitted by law, XonLabs Limited and its affiliates, officers, employees, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data. Our total liability for any claim arising out of or relating to Memo will not exceed the amount you paid us for the service in the three months before the event giving rise to the claim.

These terms are governed by the laws of Hong Kong, without regard to conflict-of-law rules. Courts located in Hong Kong will have exclusive jurisdiction over disputes arising out of or related to these terms or your use of Memo, unless applicable law requires otherwise.
